Legal Counsel Procurement
Job Description
The Legal Counsel Procurement will act as a key member of the Supply Chain (Procurement) team and will be responsible for drafting, reviewing and negotiating supplier contracts or subcontracts. This includes handling standard supplier contracts in the field of 3rd party personnel, equipment, MRO, etc., as well as managing subcontractor agreements. The Legal Counsel Procurement will ensure that contractual risks are identified, properly evaluated, and mitigated.
Job Responsibilities
Draft, review and negotiate supplier contracts (including sub-contracts) in line with templates provided by Legal and Fugro policies.
Act as a key member of the Supply Chain (Procurement) team, participate in commercial and legal discussions with internal stakeholders and suppliers to ensure that contractual risks are identified, properly evaluated, and mitigated. Raise awareness of contractual risks with internal stakeholders.
Incorporate contract-flow down clauses from the client contract into the subcontract, in alignment with the Legal team
Ensure proper contract administration
Promote the principles of good procurement and contract management practice throughout the company
Responsible for preparation/review of all relevant contractual correspondence exchanged during project execution to and from the suppliers, subcontractors, and authorities.
Monitor all contract deliverables and the contract performance as well as identify risks and opportunities. Support handling of supplier claims.
Assumes overall responsibility for all contractual and commercial issues related to the management of change, including ensuring claims are issued within the timeframes set out in the contract and receiving all required internal approvals preparing, interfacing with involved functions, and negotiating any claims against partners and subcontractors
Works closely with internal stakeholders: Supply Chain (Procurement), Finance, Legal, Insurance, Fleet Services, project managers and various business stakeholders.
Job Requirements
Law degree preferred though Business degree with strong contract management experience will be acceptable
3 – 6 years’ experience with contracts
Experience in Maritime/ EPC/ Engineering companies is preferred. Project experience (with EPC companies and/or offshore projects) is a plus.
Strong negotiation skills and experience
Understand inter-disciplinary relations and requirements
Exceptional communication and presentation skills
Ability to provide open and direct dialogue with stakeholders
High level of integrity and ethics
Ability to handle multiple tasks and changing priorities in a fast-paced environment
